The Role

Cisco Systems has a proud record of over 230 acquisitions since 1993. These acquisitions sit centrally in Cisco’s continuous focus on buy, build and partner to fuel the company’s growth and ability to capture market transitions. The M&A Legal team is critical to each and every deal we do and the breadth of responsibilities for lawyers leading those transactions is incredibly exciting. You will partner closely with our world class Corp Dev team to provide legal support for M&A transactions, venture investments and financings. During any given week you might work on a big public company M&A deal, a financing round in a portfolio company, a venture investment, a divestiture, a tech and talent acquisition, or all of those things and more. We are always in a cycle of continuous improvement and you will have a platform to flag and inspire change – in the business as well as in our legal team.

Responsibilities include:

M&A (including Divestitures)

  • Providing legal support for M&A and (occasional) business unit divestitures (“M&A Transactions”); working closely with cross-functional teams and specialists in other groups across Cisco, including Tax, Finance, HR and Integration
  • Coordinating legal support for M&A Transactions across the various groups in the Legal Department, including IP, Litigation, Corporate, HR, Sales and Engineering
  • Reviewing and negotiating Corp Dev NDAs
  • Leading due diligence
  • Assessing/advising on deal risks
  • Supporting deal negotiations
  • Providing advice on deal structuring
  • Supporting efforts to secure regulatory approvals
  • Drafting and reviewing deal documents
  • Providing post-closing support
  • Managing outside counsel
  • Supervising trends in securities and corporate law

Venture Capital and Investments

  • Providing legal support for Cisco’s investments in portfolio companies and investment funds
  • Leading cross-discipline teams and handling outside counsel (where necessary) in connection with diligence, structuring, investment documentation and deal execution

The Team

You’ll be working closely with the antitrust/competition law specialists in our team. We also have a dedicated integration team in M&A legal, and you’ll be partnering with them on acquisitions and any divestitures.

Cisco is seeking a highly motivated, solutions-driven, tech-savvy teammate, excited about working in an agile, fast-paced environment on Cisco’s M&A, Corp Dev and Venture Capital Legal Team.

This position reports to the head of the M&A, Corp Dev and Venture Capital Legal Team.


The Minimum Requirements for this role:

  • A law degree
  • Active bar membership
  • Minimum of 6 years law firm experience in the M&A group; preference for additional in-house M&A experience
  • Minimum of 7-8 years of experience
